Washington, D.C. - Smaller, publicly traded restaurant companies soon may receive relief from the strict rules and significant costs associated with the Sarbanes-Oxley Act of 2002.

An advisory council set up by the U.S. Securities and Exchange Commission has voted unanimously to recommend to the SEC that certain small public companies be exempt from parts of the Sarbanes-Oxley Act (SOX) which was enacted to combat corporate scandals like those at Enron. The act requires a high level of transparency surrounding financial reporting.

In a draft of its proposal, the advisory council suggested to fully exempt companies with market capitalizations less than $128.2 million from Section 404 of SOX, which requires a management report on the company's internal control over financial reporting and an external auditor among other rules. The committee also proposed a more limited exemption to companies with market capitalization between $128.2 million and $787.1 million.

Fintech client, Kona Grill, Inc., a nine-unit restaurant operator that went public in August 2005, has filed a statement in support of the advisory committee's recommendations. The company said it incurred "considerable costs" on SOX compliance and that current rules "increase the cost of capital for, and place an undue burden on, small companies."

Fintech Honored as Recipient of Two Awards

Since being awarded the Tampa Bay 2005 Business of the Year, Fintech has received two more awards - the Blue Ribbon Business award given by the U.S. Chamber of Commerce and a Best Place to Work in Tampa Bay award given by the Tampa Bay Business Journal.

The U.S. Chamber of Commerce designed the Blue Ribbon award to honor businesses that showed excellence in a variety of selection criteria, including financial performance and business history, staff training and motivation, community involvement, customer service, and business planning. "Winners of the Blue Ribbon Award have served their employees, customers, and communities with a consistent dedication that exemplifies America's spirit of enterprise," said Giovanni Coratolo, executive director of the U.S. Chamber Small Business Council.

The Tampa Bay Business Journal's Best Places to Work award recognizes achievements in creating a positive work environment that attracts and retains employees through a combination of benefits, working conditions, and company culture. The winners are determined based on the results of an anonymous survey that each employee completes, as well as information provided by the company.
